1. Acceptance of Terms

By accessing or using services provided by Aibuildagentic LLC ("Agentic," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

Agentic provides AI-powered virtual receptionist services, including automated call answering, appointment scheduling, and customer inquiry handling. Services are provided on a subscription basis as described in our pricing plans.

3. Account Responsibilities

You are responsible for maintaining your account security
You must provide accurate business information for AI training
You are responsible for compliance with laws applicable to your industry
You must not use the service for unlawful or deceptive purposes
You are solely responsible for verifying the accuracy of any information provided by the AI receptionist to your callers
You are responsible for informing your callers that they may be interacting with an AI system where required by applicable law

4. Billing & Cancellation

Subscriptions are billed monthly. You may cancel at any time, and your service will continue until the end of the current billing period. No refunds are provided for partial billing periods. Unused minutes do not roll over between billing periods.

Agentic reserves the right to adjust pricing, included minutes, overage rates, and plan features at any time to reflect changes in our underlying service costs, infrastructure, or market conditions. Any pricing changes will be communicated to you via email at least 30 days before they take effect. If you do not agree with the updated pricing, you may cancel your subscription before the new rates apply. Continued use of the service after the effective date constitutes acceptance of the updated terms.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. Agentic does not warrant that the AI receptionist will be error-free, that all calls will be answered, that information provided to callers will be accurate, or that appointments will be booked correctly. You acknowledge that AI technology has inherent limitations and may occasionally misinterpret caller intent, provide inaccurate responses, or fail to capture information correctly.

6. Service Availability

We target high availability but do not guarantee uninterrupted service. The service may be temporarily unavailable due to maintenance, updates, third-party provider outages, or circumstances beyond our control. Agentic is not liable for any damages, lost business, missed calls, or lost revenue resulting from service interruptions, downtime, or AI response errors.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL AGENTIC'S TOTAL AGGREGATE LIABILITY EXCEED THE FEES ACTUALLY PAID BY YOU IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This limitation applies to all causes of action in the aggregate, including breach of contract, negligence, and other torts.

8. Indemnification

You agree to indemnify, defend, and hold harmless Agentic and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the service; (b) any information you provide for AI training; (c) any interaction between the AI receptionist and your callers; (d) your violation of these terms; or (e) your violation of any applicable law or regulation. You are solely responsible for any consequences arising from the AI receptionist's interactions with your callers, customers, or third parties.

9. Specific Exclusions

Without limiting the foregoing, Agentic is expressly not liable for:

Missed calls or calls not answered by the AI receptionist
Incorrect, incomplete, or inaccurate information provided by the AI to callers
Appointments booked at wrong times, dates, or with incorrect details
Lost leads or business opportunities due to AI errors or service interruptions
Decisions made by callers based on information provided by the AI
Regulatory or legal consequences arising from AI interactions with your callers
Third-party service failures (calendar providers, telephony, email delivery)
Data loss or corruption in connected third-party systems (CRM, calendar, etc.)

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, Travis County, without regard to conflict of law principles. Any disputes arising from these terms or the service shall be resolved through binding arbitration in Travis County, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Changes to Terms

We may update these terms at any time. Continued use of the service after changes constitutes acceptance of the updated terms. We will notify you of material changes via email.
